1. Introduction

These Terms and Conditions govern the provision of search engine optimisation (SEO) services provided by The Gorilla Digital ltd (“Provider”) to you (“Client”). By engaging the Provider for SEO services, the Client agrees to be bound by these Terms and Conditions.

2. Services

The Provider agrees to perform SEO services, which may include, but are not limited to, keyword research, on-page optimisation, content creation if necessary, link building, and reporting on performance metrics. The specific services to be provided will be outlined in the monthly report sent via email or available in the client dashboard.

3. Client Obligations

The Client agrees to cooperate with the Provider by providing access to its website, digital assets, and other necessary information. The Client agrees to make timely decisions and provide timely feedback to facilitate the Provider’s performance of services.

4. Payment

Fees for the SEO services will be billed via stripe subscription monthly. Unless otherwise specified, all invoices are payable within 5 days of receipt. Late payments may be subject to interest and/or service interruption.

5. Term and Termination

These Terms and Conditions will become effective once the first payment is made to The Gorilla Digital ltd and will continue until terminated by either party with a 30-day written notice. Either party may terminate the agreement immediately for cause if the other party breaches any of its material responsibilities or obligations and fails to rectify that breach within a reasonable timeframe.

6. Intellectual Property

All work products developed by the Provider as part of the SEO services, including reports, analyses, and digital content, will remain the property of the Provider until payment is made in full, at which point ownership will transfer to the Client.

7. SEOWizard’s Rights & Client Agreement

You consent to The Gorilla Digital ltd using publicly available graphics, website visuals, non-sensitive performance data (such as anonymised analytics or charts), and other non-confidential elements from your project as part of their portfolio or in marketing materials. This usage will never include proprietary or sensitive business information. The Gorilla Digital ltd also reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.

8. Confidentiality

Both parties agree to keep all proprietary information exchanged during the course of the agreement confidential and not to disclose it to any third party without the prior written consent of the disclosing party.

9. Limitation of Liability

The Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption. The Provider’s total liability under these Terms and Conditions shall not exceed the total fees paid by the Client.

10. Miscellaneous

These Terms and Conditions constitute the entire agreement between the parties regarding its subject matter and supersede all prior agreements and understandings, both written and oral. Amendments or changes to these Terms and Conditions must be in writing and signed by both parties.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located, without regard to its conflict of laws rules.

12. Dispute Resolution

Any disputes arising out of or in connection with these Terms and Conditions will be resolved through binding arbitration in accordance with the rules of an agreed-upon arbitration association.

Terms and Conditions for Web Design Services Provided by The Gorilla Digital ltd

1. Introduction

These Terms and Conditions govern the provision of web design services provided by The Gorilla Digital ltd to you. By engaging The Gorilla Digital ltd for web design services, you agree to be bound by these Terms and Conditions.

2. Services

The Gorilla Digital ltd will provide web design and development services as described in the project proposal and any subsequent agreements. Services may include, but are not limited to, designing the layout, creating graphics, coding, and integrating content management systems.

3. Client Obligations

You agree to cooperate with The Gorilla Digital ltd by providing necessary materials, including text, images, and other information as needed, and to respond to requests for feedback or approvals promptly. You confirm that you have the rights to use any content you provide and indemnify The Gorilla Digital ltd against any claims arising from the use of such content.

4. Project Timeline and Deliverables

The project timeline and specific deliverables will be outlined in the project proposal. The Gorilla Digital ltd will endeavor to meet all agreed-upon deadlines, subject to your timely cooperation.

5. Payment

Payment terms will be specified in the project proposal. Typically, a deposit is required to commence work, with subsequent payments due at project milestones. Final payment is due upon project completion before the final website is transferred to you or goes live. The project remains the property of The Gorilla Digital ltd until the final payment is made.

6. Intellectual Property

Upon receipt of full payment, you will own the final website design and underlying coding. However, The Gorilla Digital ltd retains the right to use any designs, layouts, codes, and pre-existing templates that were not specifically commissioned and paid for as part of the project. This includes all coded elements of the website, extensions, special functionalities, and any other website modules not specified in the initial agreement.

7. The Gorilla Digital’s Rights & Client Agreement

You consent to The Gorilla Digital ltd using graphics and other elements from your web content as samples in their portfolio and for use in other projects. The Gorilla Digital ltd reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.

8. Revisions and Acceptance

You will have the opportunity to review and request revisions to the website design. The project proposal will specify that two revisions are included with the project. Once you accept the final version of the website, or once the included revisions have been exhausted, any further revisions may be subject to additional charges.

9. Termination

Either party may terminate the agreement with written notice if the other party breaches these Terms and Conditions and fails to correct the breach within a reasonable timeframe. In case of termination, you are responsible for payment for work completed to date.

10. Limitation of Liability

The Gorilla Digital ltd will not be liable for any indirect, special, or consequential damages arising out of or in connection with the services provided. The Gorilla Digital ltd’s total liability under these Terms and Conditions shall not exceed the total fees paid by you under the agreement.

11. Warranty
The website offers a lifetime warranty provided that you subscribe to our website maintenance service and do not perform self-updates or self-upgrades.

12. Miscellaneous

These Terms and Conditions constitute the entire agreement between you and The Gorilla Digital ltd regarding your use of the web design services. Any amendments to this agreement must be in writing and signed by both parties.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which The Gorilla Digital ltd operates.

14. Agreement

By engaging The Gorilla Digital ltd for web design services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

This contract represents the complete and exclusive agreement between you and The Gorilla Digital ltd concerning all related matters.

Terms and Conditions for The Gorilla Digital Website Maintenance & Support Services

1. Introduction

These Terms and Conditions govern the provision of website maintenance and support services provided by The Gorilla Digital ltd (“Provider”) to you (“Client”). By engaging the Provider for these services, the Client agrees to be bound by these Terms and Conditions.

2. Services Provided

The Provider will offer the following services, which include, but are not limited to:

• Regular updates to the website software and plugins.
• Monitoring website uptime and performance.
• Backup services to ensure data integrity.
• Security monitoring to detect and prevent unauthorized access.
• Technical support via email and phone.

Specific details of the services, including scope and any exclusions, will be outlined in the individual Service Agreement provided to the Client upon engagement.

3. Fees and Payment

• The Client agrees to pay the fees stated in the Service Agreement.
• Payment is due on a recurring basis in accordance with the terms set out in the Service Agreement.
• Late payments may be subject to late fees and suspension of services until payment is received.

4. Term and Termination

• This agreement is effective as of the date of signing the Service Agreement and continues until terminated by either party.
• Either party may terminate the agreement with a notice period as specified in the Service Agreement.
• Termination must be communicated in writing.

5. Client Responsibilities

• The Client must provide timely information and access to resources as may be reasonably required by the Provider to perform the services.
• The Client is responsible for ensuring that all content on the website complies with applicable laws and regulations.

6. Limitation of Liability

• The Gorilla Digital ltd is not liable for any indirect, special, or consequential damages arising out of or in connection with the services provided.
• The total liability of The Gorilla Digital ltd under these Terms and Conditions shall not exceed the total fees paid by the Client under the Service Agreement in the 12 months preceding any claim.

7. Confidentiality

• Both parties agree to keep confidential any proprietary information exchanged during the course of the service agreement.

8. Governing Law

• These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located.

9. Dispute Resolution

• Any disputes arising out of or related to these Terms and Conditions or the services provided shall be resolved through binding arbitration in accordance with the rules of an agreed arbitration body.

10. Miscellaneous

• These Terms and Conditions may be amended from time to time by the Provider, with such amendments becoming effective upon notification to the Client.
• If any part of these Terms and Conditions is found to be invalid or unenforceable, the remaining parts will continue in effect.

Terms and Conditions for PPC Services by SEOWizard

1. Introduction These Terms and Conditions govern the provision of pay-per-click (PPC) advertising services provided by The Gorilla Digital ltd (“Provider”), to you (“Client”). By engaging services with The Gorilla Digital ltd, you agree to these Terms and Conditions.

2. Services Provided The Gorilla Digital ltd will provide PPC advertising services as described in the signed agreement or statement of work. These services may include campaign setup, keyword research, ad copy creation, bid management, and reporting.

3. Client Obligations

• Account Access: Client agrees to provide The Gorilla Digital ltd with access to its advertising accounts as necessary. Or, if the client will give The Gorilla Digital ltd permission to set an account up for them – visa card and identity will be required if this is the case. 
• Information and Approvals: The Gorilla Digital will approve all ads, and update the (you) client when needed
• Payment of Fees: Client agrees to pay all fees associated with the PPC campaigns, including media spend, management fees, and any other costs as outlined in the agreement.

4. Payment Terms

• Fees: The fees for PPC services shall be as agreed upon before starting. 
• Payment Schedule: Service Management Payments are due on a monthly basis, with receipts issued on the same date each month
• Late Payments: Late payments may incur late fees and suspension of services.

5. Term and Termination

• Term: This agreement is effective as of the date of signing and will continue until terminated by either party.
• Termination: Either party may terminate this agreement with thirty (30) days’ written notice. Upon termination, Client will be responsible for any fees incurred up to the effective date of termination.

6. Intellectual Property

• Client Content: All Client content remains the intellectual property of the Client.
• Service Deliverables: The Gorilla Digital ltd retains the rights to all original materials created or used for the campaign, unless otherwise negotiated.

7. Confidentiality Both parties agree to keep all proprietary information confidential and will not disclose to any third parties without prior written consent.

8. Limitation of Liability The Gorilla Digital ltd shall not be liable for any claims related to services delivered under this agreement exceeding the amount paid by the Client for the services.

9. Indemnification Client agrees to indemnify and hold harmless The Gorilla Digital ltd from any claims resulting from the use of the services.

10. Dispute Resolution Any disputes under these terms will be resolved through arbitration in accordance with the rules of the Alternative Dispute Resolution.

11. Miscellaneous

• Amendments: Any amendments to this agreement must be in writing and signed by both parties.
• Severability: If any part of these Terms is held unenforceable, the remainder of the Terms will remain in effect.
• Governing Law: This Agreement shall be governed by the laws of the state where The Gorilla Digital ltd is headquartered.

Terms and Conditions for Social Media Management Services

1. General

These Terms and Conditions (“Terms”) govern the provision of social media management services (“Services”) provided by The Gorilla Digital ltd (“Provider”) to you (“Client”). By engaging the Provider, the Client agrees to be bound by these Terms.

2. Services

The Provider will deliver the Services as described in the individual service agreement (“Service Agreement”) executed by the parties. Services may include, but are not limited to, developing marketing strategies, creating and posting content, monitoring social media interactions, and analyzing engagement data.

3. Client Obligations

The Client agrees to: a. Provide all necessary access to information and social media accounts needed for the Provider to perform the Services. b. Approve all major initiatives by the Provider before public release. c. Review and respond promptly to all communications from the Provider.

4. Fees and Payment

a. The Client agrees to pay the Provider the fees outlined in the Service Agreement. b. Invoices will be issued monthly and are due within 30 days of receipt. c. Late payments may incur interest at the rate of 1.5% per month, or the highest rate permitted by law, whichever is lower.

5. Intellectual Property

a. The Provider grants the Client a non-exclusive, royalty-free license to use any content created by the Provider as part of the Services. b. The Client retains all rights to their pre-existing trademarks and copyrights. c. Any intellectual property created specifically for the Client during the engagement remains the property of the Client, subject to any rights assigned to the Provider as outlined in the Service Agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information and not to disclose it to any third party without the prior written consent of the other party, except as required by law.

7. Termination

a. This agreement may be terminated by either party with a 30-day written notice. b. Upon termination, the Client agrees to pay for all Services rendered up to the effective date of termination.

8. Limitation of Liability

The Provider’s total liability under these Terms shall not exceed the total fees paid by the Client under the Service Agreement in the twelve months preceding the claim. The Provider shall not be liable for any indirect, special, or consequential damages.

9. Indemnification

The Client agrees to indemnify and hold harmless the Provider from any claims, damages, or expenses arising from the Client’s use of the Services, except in cases of the Provider’s proven negligence.

10. Dispute Resolution

Any disputes arising under these Terms will first be attempted to be resolved through mediation. If unresolved, disputes shall be settled by arbitration in accordance with the rules of the Alternative Dispute Resolution.

11. Miscellaneous

These Terms constitute the entire agreement between the parties regarding its subject matter. If any part of these Terms is found to be unenforceable, the remaining sections will continue in full force and effect.
