1. Introduction
These Terms and Conditions govern the provision of search engine optimisation (SEO) services provided by The Gorilla Digital ltd (“Provider”) to you (“Client”). By engaging the Provider for SEO services, the Client agrees to be bound by these Terms and Conditions.
2. Services
The Provider agrees to perform SEO services, which may include, but are not limited to, keyword research, on-page optimisation, content creation if necessary, link building, and reporting on performance metrics. The specific services to be provided will be outlined in the monthly report sent via email or available in the client dashboard.
3. Client Obligations
The Client agrees to cooperate with the Provider by providing access to its website, digital assets, and other necessary information. The Client agrees to make timely decisions and provide timely feedback to facilitate the Provider’s performance of services.
4. Payment
Fees for the SEO services will be billed via stripe subscription monthly. Unless otherwise specified, all invoices are payable within 5 days of receipt. Late payments may be subject to interest and/or service interruption.
5. Term and Termination
These Terms and Conditions will become effective once the first payment is made to The Gorilla Digital ltd and will continue until terminated by either party with a 30-day written notice. Either party may terminate the agreement immediately for cause if the other party breaches any of its material responsibilities or obligations and fails to rectify that breach within a reasonable timeframe.
6. Intellectual Property
All work products developed by the Provider as part of the SEO services, including reports, analyses, and digital content, will remain the property of the Provider until payment is made in full, at which point ownership will transfer to the Client.
7. SEOWizard’s Rights & Client Agreement
You consent to The Gorilla Digital ltd using publicly available graphics, website visuals, non-sensitive performance data (such as anonymised analytics or charts), and other non-confidential elements from your project as part of their portfolio or in marketing materials. This usage will never include proprietary or sensitive business information. The Gorilla Digital ltd also reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.
8. Confidentiality
Both parties agree to keep all proprietary information exchanged during the course of the agreement confidential and not to disclose it to any third party without the prior written consent of the disclosing party.
9. Limitation of Liability
The Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption. The Provider’s total liability under these Terms and Conditions shall not exceed the total fees paid by the Client.
10. Miscellaneous
These Terms and Conditions constitute the entire agreement between the parties regarding its subject matter and supersede all prior agreements and understandings, both written and oral. Amendments or changes to these Terms and Conditions must be in writing and signed by both parties.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located, without regard to its conflict of laws rules.
12. Dispute Resolution
Any disputes arising out of or in connection with these Terms and Conditions will be resolved through binding arbitration in accordance with the rules of an agreed-upon arbitration association.

5. Payment
Payment terms will be specified in the project proposal. Typically, a deposit is required to commence work, with subsequent payments due at project milestones. Final payment is due upon project completion before the final website is transferred to you or goes live. The project remains the property of The Gorilla Digital ltd until the final payment is made.
6. Intellectual Property
Upon receipt of full payment, you will own the final website design and underlying coding. However, The Gorilla Digital ltd retains the right to use any designs, layouts, codes, and pre-existing templates that were not specifically commissioned and paid for as part of the project. This includes all coded elements of the website, extensions, special functionalities, and any other website modules not specified in the initial agreement.
7. The Gorilla Digital’s Rights & Client Agreement
You consent to The Gorilla Digital ltd using graphics and other elements from your web content as samples in their portfolio and for use in other projects. The Gorilla Digital ltd reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.
8. Revisions and Acceptance
You will have the opportunity to review and request revisions to the website design. The project proposal will specify that two revisions are included with the project. Once you accept the final version of the website, or once the included revisions have been exhausted, any further revisions may be subject to additional charges.
9. Termination
Either party may terminate the agreement with written notice if the other party breaches these Terms and Conditions and fails to correct the breach within a reasonable timeframe. In case of termination, you are responsible for payment for work completed to date.
10. Limitation of Liability
The Gorilla Digital ltd will not be liable for any indirect, special, or consequential damages arising out of or in connection with the services provided. The Gorilla Digital ltd’s total liability under these Terms and Conditions shall not exceed the total fees paid by you under the agreement.
11. Warranty
The website offers a lifetime warranty provided that you subscribe to our website maintenance service and do not perform self-updates or self-upgrades.
12. Miscellaneous
These Terms and Conditions constitute the entire agreement between you and The Gorilla Digital ltd regarding your use of the web design services. Any amendments to this agreement must be in writing and signed by both parties.
13. Governing Law

These Terms and Conditions (“Terms”) govern the provision of social media management services (“Services”) provided by The Gorilla Digital ltd (“Provider”) to you (“Client”). By engaging the Provider, the Client agrees to be bound by these Terms.

These Terms constitute the entire agreement between the parties regarding its subject matter. If any part of these Terms is found to be unenforceable, the remaining sections will continue in full force and effect.
